Terms of Service

1. Acceptance of Terms

By accessing or using Recovix ("the Service"), available at recovix.io, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you ("Client") and Ceyhun Goksal, operating as an auto-entrepreneur under French law ("Recovix", "we", "us").

2. Description of Service

Recovix is a SaaS platform that connects to your Stripe account via OAuth and automatically attempts to recover failed subscription payments on your behalf. The Service operates by:

Detecting failed payment events via Stripe webhooks
Sending automated recovery emails to your customers
Retrying failed payments at optimized intervals over a 14-day window
Providing a dashboard to track recovery performance

3. Fees and Payment

Recovix operates on a success-fee model. There are no monthly subscription fees or setup costs.

Fee: 20% of the total amount successfully recovered during each calendar month
Invoicing: A Stripe Checkout invoice is issued on the 1st of each month for the previous month's recovered amounts
Payment: Payment is due within 7 days of invoice issuance via the provided Stripe Checkout link
Minimum: Invoices below €1.00 are not issued and carried forward to the next period
Disputes: Any invoice disputes must be submitted within 14 days of issuance to contact@recovix.io

Recovix reserves the right to suspend the Service for accounts with unpaid invoices older than 30 days.

4. Stripe Connect Authorization

To use the Service, you must authorize Recovix to access your Stripe account via Stripe Connect OAuth. By doing so, you grant Recovix read access to your invoice and customer data, and the ability to retry failed invoices. Recovix does not have the ability to initiate new charges, modify your Stripe account settings, or access your payout information. You may revoke access at any time through your Stripe dashboard or by contacting us.

5. Client Obligations

By using the Service, you agree to:

Ensure you have the legal right to authorize Recovix to contact your customers on your behalf
Inform your customers that recovery emails may be sent by a third-party service on your behalf
Comply with all applicable laws, including anti-spam regulations (GDPR, CAN-SPAM)
Not use the Service for fraudulent, deceptive, or unlawful purposes
Keep your account credentials secure and notify us immediately of any unauthorized access

6. Limitation of Liability

The Service is provided "as is" without warranties of any kind. Recovix does not guarantee any specific recovery rate or outcome. To the maximum extent permitted by French law, Recovix shall not be liable for:

Any indirect, incidental, or consequential damages
Loss of revenue, data, or business opportunities
Damages resulting from Stripe API outages or changes
Actions taken by third parties, including your customers

Recovix's total liability for any claim arising from the Service shall not exceed the total fees paid by you in the 3 months preceding the claim.

7. Data and Confidentiality

Recovix processes personal data (customer email addresses) on your behalf as a data processor under GDPR. You remain the data controller. Please refer to our Privacy Policy for full details on data handling. Recovix will not sell, share, or use your customer data for any purpose other than providing the Service.

8. Termination

Either party may terminate the Service at any time. You may disconnect your Stripe account at any time via the dashboard. Upon termination, Recovix will cease all recovery activities. Outstanding invoices remain due and payable. Recovix may terminate or suspend access immediately if you violate these Terms.

9. Intellectual Property

All intellectual property rights in the Service, including software, design, and documentation, are owned by Ceyhun Goksal. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

10. Governing Law

These Terms are governed by French law. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of France. If you are a consumer in the EU, you may also have recourse to the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

11. Changes to Terms

Recovix reserves the right to modify these Terms at any time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
